Tasty Rewards Members Week Sweepstakes (“Sweepstakes”)

Official Rules (the “Rules”)

 

THE FOLLOWING SWEEPSTAKES IS INTENDED FOR PARTICIPATION IN THE UNITED STATES ONLY AND WILL BE GOVERNED BY U.S. LAW. DO NOT ENTER UNLESS YOU ARE AT LEAST THE AGE OF MAJORITY IN YOUR STATE OF RESIDENCE LOCATED IN THE UNITED STATES AND A TASTY REWARDS MEMBER AT THE TIME OF ENTRY. 

 

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED BY LAW. BY PARTICIPATING IN THIS SWEEPSTAKES, ENTRANT AGREES TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISIONS OF THE SPONSOR, WHICH SHALL BE FINAL AND BINDING IN ALL RESPECTS. ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION AND ENTRANTS WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT.

 

1. ELIGIBILITY: The Sweepstakes is open only to legal U.S. residents residing in one (1) of the fifty (50) United States or the District of Columbia who are eighteen (18) years of age or older (19 or older if a resident of Alabama or Nebraska) with a valid US driver’s license or government issued photo ID, AND are a Tasty Rewards member at the time of entry. The following persons are not eligible to participate: employees, contractors, directors, and officers of Pepsi-Cola Company, Frito-Lay, Inc. (“Sponsor”), their parent, subsidiary and affiliated companies, distributors, Web design, advertising, fulfillment, judging and promotion agencies involved in the administration, development, fulfillment and execution of this Sweepstakes (collectively, “Promotion Parties”), and the immediate family members (spouse, parent, child, sibling, grandparent, and/or “step”) of each and those living in their same households (those persons whether related or not who live in the same residence for at least three [3] months during the twelve-month period preceding the start date of the Sweepstakes). 

 

2. SWEEPSTAKES PERIOD: Sweepstakes begins at 9:00:00 AM Eastern Time (“ET”) on December 23, 2024, and ends at 11:59:59 PM ET on December 28, 2024 (“Sweepstakes Period”). The time clock of computer administering this Sweepstakes is the official clock for this Sweepstakes.

 

3. HOW TO ENTER: During the Sweepstakes Period, visit TastyRewards.com (“Web Site”) and click on the “Sweepstakes” link at the top of the page.  If you are not a Tasty Rewards member, please follow the instructions to create a free account.  If you are a Tasty Rewards member, please log in to access the Sweepstakes page.  Once you have created an account or have logged in, follow the online instructions to complete the Sweepstakes entry form and submit your entry (“Entry”) to receive one (1) entry into the Sweepstakes. All entrants must have a valid email address. By submitting your entry, you confirm that you are eligible to participate according to these Rules. 

 

Sponsor reserves the right, at its sole discretion, to distribute entry offers at various times throughout the Sweepstakes Period through additional means which may include, but not be limited to, by e-mail to online subscribers of Tasty Rewards (subject to the terms and limitations set forth in such e-mail).

 

Limit one (1) entry per person/email address per day. A “day” is defined as the 24 hours between 12:00:00 a.m. ET and 11:59:59 p.m. ET of the same day with the exception of the first day of the Sweepstakes Period which shall begin at 9:00:00 a.m. ET and end at 11:59:59 p.m. ET of the same day. 

 

All participants must have a valid email address. Multiple participants may not share the same email address. The potential winners may be requested to provide Sponsor with proof they are the authorized account holder of the email address associated with the winning entry and/or an eligible participant. Each submission must be manually key stroked and/or manually entered by the individual entrant; automated and/or repetitive electronic submission of Entries (including but not limited to Entries made using any script, macro, bot or sweepstakes service) will be disqualified and transmissions from these or related email addresses/IP addresses may be blocked. For purposes of the Sweepstakes, an entrant’s residential address and e-mail address will be the physical address and e-mail address submitted at the time of entry. Entrants will not be allowed to change their physical address or e-mail address. Additionally, use of multiple email addresses or multiple identities, phone numbers and/or mailing addresses, and/or the manipulation of such information, for the purpose of obtaining more than the stated number of entries and/or prizes, is prohibited and such persons will be disqualified and all Entries shall be deemed invalid and any prize an entrant might have been entitled to win will not be awarded and may be revoked, as determined in the sole discretion by the Sponsor.  

 

4. DRAWINGS: Prize winners will be selected in a random drawing to be held on or about
December 30, 2025, from eligible Entries received during the Sweepstakes Period.  Odds of winning depend on the number of eligible entries received during the Sweepstakes Period. The drawing will be conducted by an independent judging agency designated by Sponsor, whose decisions are final in all matters relating to this Sweepstakes.

 

5. PRIZE DETAILS: Prizes (200): Two Hundred (200) winners will receive a gear box consisting of one (1) apron, one (1) tote bag, two (2) chips clips and three (3) small bags of chips or snacks (specific brand/variety in Sponsors sole discretion). Approximate Retail Value (“ARV”) $74.50 each. Total ARV of all prizes $14,900.

 

6. LIMITATIONS OF LIABILITY AND RELEASE: No liability or responsibility is assumed by Sponsor or Promotion Parties resulting from entrant's participation in or attempt to participate in the Sweepstakes or ability or inability to upload or download any information in connection with the Sweepstakes. No responsibility or liability is assumed by the Sponsor or the Promotion Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Sweepstakes: Hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online or network communication problems; errors or limitations of any Internet or wireless service providers, servers, hosts or other providers; garbled, jumbled or faulty data transmissions; failure of any online transmissions to be sent or received; lost, late, delayed or intercepted transmissions; inaccessibility of the Web Site in whole or in part for any reason; traffic congestion on the Internet or Web Site; unauthorized human or non-human intervention of the operation of the Sweepstakes, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, or worms; or destruction of any aspect of the Sweepstakes, or loss, miscount, misdirection, inaccessibility or unavailability of the Website or a participant’s email account used in connection with the Sweepstakes. The Sponsor and Promotion Parties are not responsible for any printing, typographical, technical, computer, network or human error which may occur in the administration of the Sweepstakes, the submission of entries, the announcement of the prizes, or these Official Rules, or any inaccurate or incorrect data contained on the Web Site. Use of Web Site is at user’s own risk. Sponsor and Promotion Parties are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer or web-enabled device resulting from participation in the Sweepstakes. In the event of an identity dispute of a participant, the entry will be considered made by the authorized account holder of the email account the entry is submitted from at the time of entry. The “authorized account holder” is the person who is assigned to the email account by the online service provider. Those who do not follow all of the instructions, provide the required information in their entry form, or abide by these Official Rules or other instructions of Sponsor may be disqualified. All entrants submitting materials/content/comments as part of the Sweepstakes will be non-exclusively licensing (with the unlimited right to sublicense) to Sponsor and Promotion Parties the right to use such materials, and the images related thereto (including entrant’s name, social media account username and likeness), for any purpose (including any and all commercial purposes) with the right to modify the materials and make derivative works thereof. Entries submitted by entrants who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL, CONSEQUENTIAL, OR OTHER DAMAGES; AS A RESULT, THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU, AND THE FOREGOING PARAGRAPHS SHALL NOT APPLY TO A RESIDENT OF NEW JERSEY TO THE EXTENT DAMAGES TO SUCH NEW JERSEY RESIDENT ARE THE RESULT OF SPONSOR OR PROMOTION PARTIES’ NEGLIGENT, FRAUDULENT OR RECKLESS ACT(S) OR INTENTIONAL MISCONDUCT. 

 

7. WINNER NOTIFICATION: Potential winners will be notified by phone, email and/or mail within five (5) days of the drawing. Prize Winner may be required to complete, sign and return an Affidavit of Eligibility/Liability Release, if applicable, and, where lawful, a Publicity Release within five (5) days of prize notification via fax, email and/or overnight mail. Sponsor is not responsible for any change in entrant's email address, mailing address and/or telephone number. If attempted notification is returned as undeliverable, if any required documents are not returned within the required number of days, if winner cannot be verified, or if winner is otherwise unable to accept the prize as stated, prize may be forfeited. Prize will be delivered within nine (9) weeks of winner verification. If a Prize is returned as undeliverable, the prize will be forfeited and Sponsor shall have no further liability to award that prize.

 

8. RELEASE OF LIABILITY: By participating in the Sweepstakes, entrants agree (a) to release Sponsor and Promotion Parties, and each of their respective parent companies, subsidiaries, affiliates, officers, directors, employees, governors, owners, distributors, retailers, agents, assignees, advertising/promotion agencies, representatives, and agents (“ (collectively, the “Released Parties”), from any and all claims or actions of any kind whatsoever for injuries, damages or losses to persons and property, including bodily injury and death, arising from or relating to such entrant's participation or inability to participate in the Sweepstakes; (b) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs. By accepting a prize, each winner (a) agrees that the Released Parties will have no liability whatsoever for, and shall be held harmless by winner against, any liability for injuries, losses or damages of any kind to persons or property resulting in whole or in part, directly or indirectly, from participation in the Sweepstakes; from acceptance, possession, misuse or use of any prize, including travel thereto, and (b) grants (and agrees to confirm grant in writing promptly upon request) to Sponsor and its designees, and each of their respective designees the right to use his or her name, photograph, likeness, voice, image, statements, biographical information, at any time or times, for advertising, trade, publicity and promotional purposes in any media now known or hereafter discovered, worldwide, including the Internet without review, notification or approval, and additional compensation or consideration, unless prohibited by law. The Released Parties are not liable in the event that any portion of the Sweepstakes (including any prize) is compromised, modified or canceled due to pandemics or epidemics, outbreaks of infectious disease or any other public health crisis including quarantine measures of any government authority or other restrictions, weather, fire, strike, acts of war or terrorism, government restriction, or any other condition beyond their control (a “Force Majeure Event”).  

 

9. DISPUTE RESOLUTION: The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Sweepstakes. The parties each agree to finally settle all disputes only through arbitration; provided, however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in the State of Texas, and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury, and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Sweepstakes shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in the State of Texas. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in the State of Texas. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court. This Sweepstakes is offered only in the United States and is governed by the laws of the state of Texas, and all claims must be resolved in the federal or state courts located in Collin or Dallas counties, Texas. 

 

10. GENERAL CONDITIONS: The winners are solely responsible for any taxes on their prize, if any. The winners may be required to give their social security number to the Sponsor as a condition of receiving the prize and will may receive an IRS Form 1099 for the retail value of their prize. No cash equivalent or substitution of a non-cash prize is offered, except at the sole discretion of the Sponsor. No transfer of a prize is permitted. Unclaimed prizes will not be awarded. If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute a prize with another prize of equal or greater value. If for any reason the Sweepstakes is not capable of running as planned, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes or any other factors beyond Sponsor’s reasonable control, Sponsor reserves the right, at its sole discretion, to (a) disqualify any individual who is responsible or who tampers with the operation of the Sweepstakes, and (b) cancel, modify or terminate the Sweepstakes. In the event of cancellation, Sponsor will randomly award the remaining prize(s) among all eligible, non-suspect entries received prior to cancellation. This Sweepstakes is offered only in the United States and all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant’s rights and obligations, or the rights and obligations of the Released Parties in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of State of Texas, without giving effect to any choice of law or conflict of law rules. By entering, participants consent to the jurisdiction and venue of the federal, state and local courts for Collin or Dallas Counties, Texas. 

 

Please see Sponsor’s privacy policy located at http://www.fritolay.com/legal/privacy-policy.htm for details of Sponsor’s policy regarding the personal information collected in connection with this Sweepstakes. In the event of any discrepancy between the Sponsor’s Privacy Policy and these Official Rules, these Official Rules shall control and govern. Additionally, any communication between entrant and Sponsor or its agencies regarding this Sweepstakes (e.g. phone calls, text messages, chats, email, etc.) may be recorded for quality assurance and training purposes. Winners’ names may be included in a publicly available winner’s list. 

 

11. MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials, privacy policy or terms of use on any website, social media platform or application and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.  

 

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE WEB SITE OR INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
